Welcome to YPCards! This Agreement is between you and YP GLOBAL TECHNOLOGY LIMITED ("we", "us" or "our") and governs your use of the YPCards app and related services (the "Service").
Please read this Agreement carefully before registering for or using the Service, especially the terms that exclude or limit liability and the dispute resolution terms. By clicking to agree, completing registration or actually using the Service, you confirm that you have read, understood and agree to be bound by this Agreement. If you do not agree with any part of it, please stop registering for or using the Service.
1. Definitions
- Service: the features we provide through the YPCards app, including virtual card application and management, account top-ups, transfers to cards, fund statements and customer service.
- Virtual Card: a prepaid card issued by our licensed card-issuing partner, provided electronically and used mainly to pay for online subscription services. Virtual Cards have no overdraft or credit function.
- Account: the account you obtain after registration to use the Service, and the balance recorded in it. Account balances are denominated in US dollars (USD).
2. Eligibility
- You must be at least 18 years old and have full legal capacity.
- You must ensure that your use of the Service does not violate the laws and regulations of your country or region, including but not limited to foreign exchange, payment settlement and tax rules. If the law in your region prohibits or restricts use of the Service, please do not use it.
- You must not be on any sanctions list of any country or international organisation, and must not use the Service on behalf of any such person.
3. Account Registration and Security
- You must register with your own real and valid email address and set a login password and transaction password as required.
- Before applying for a card, you must complete identity verification as required and ensure that the information you provide is true, accurate, complete and valid. You must update it promptly if it changes.
- Your account is for your use only and may not be rented, lent, transferred or sold. You must keep your account password, transaction password, verification codes and card details safe. Any action taken using your account and password is deemed to be your own action, and you bear the consequences.
- If you discover that your account or card has been misused or is at risk, freeze the card immediately and contact us. We will help you deal with it, but we are not liable for losses that occurred before you notified us, unless they were caused by our fault.
4. The Service
- Virtual Cards: once you have passed identity verification, you can apply for the card types shown in the app. Card applications are reviewed by our card-issuing partner. We may decide whether to approve an application based on compliance requirements and may not give reasons.
- Top-ups: you can top up your account using the methods shown in the app. Arrival times are as shown in the app.
- Transfers to cards: you can transfer your account balance to a Virtual Card in your name to pay for subscription services.
- Card management: you can view card balances and transaction records and freeze or unfreeze cards. Returning a card balance to your account depends on the features actually available in the app.
We may add, adjust or remove some features based on business development and compliance requirements, and will inform you through in-app announcements or similar means.
5. Fees
- Card fees, top-up fees and other charges are as shown in the app at the time you perform the action. By confirming the action, you agree to pay the applicable fee.
- When you use a Virtual Card for non-USD transactions, the card network or card issuer may charge currency conversion fees, cross-border transaction fees and similar charges, as actually deducted.
- If we change our fees, we will announce this in the app in advance. Changes do not affect transactions completed before the change.
6. Using Virtual Cards
- Virtual Cards can be used with online merchants that accept payments from the relevant card network. Each merchant and platform has its own risk control rules, and we cannot guarantee that a card will be accepted by every merchant. We recommend testing with a small amount the first time you use a card.
- Goods and services you buy with a Virtual Card are provided by the merchant. Their quality, delivery, refunds and similar matters are to be resolved between you and the merchant. If you need to dispute a transaction, we can help you under the card network's rules, but we cannot guarantee the outcome.
- Merchant refunds are returned to the original card according to the card network's and card issuer's processes; arrival times depend on actual processing.
- You are responsible for managing your card balance. If a subscription payment fails because of insufficient card balance, you bear the consequences.
7. Prohibited Activities
You agree not to use the Service to:
- break any applicable law or regulation, including money laundering, terrorist financing, fraud, tax evasion or evading foreign exchange controls;
- transact in gambling, pornography, drugs, weapons or any other prohibited goods or illegal services;
- use a false identity or another person's identity information, or open or hold cards on behalf of others;
- cash out, make fictitious transactions, make malicious chargebacks or exploit system vulnerabilities for improper gain;
- interfere with or disrupt the normal operation of the Service in any way, or access our systems without authorisation;
- do anything else that harms the lawful rights and interests of us, our card-issuing partners or any third party.
8. Risk Control and Account Measures
In the following situations, we may request additional information, restrict transactions, freeze cards or accounts, terminate the Service or take similar measures:
- you breach this Agreement or applicable laws and regulations;
- there is unusual or suspicious activity on your account or transactions;
- we are required to do so by judicial authorities, regulators or our card-issuing partners;
- it is necessary to protect the safety of your funds or the funds of others.
Once the situation has been resolved, we will restore the Service as appropriate. Funds that must be frozen or deducted by law will be handled as required by the competent authorities.
9. Intellectual Property
The intellectual property rights in the software, interface design, text, images, trademarks, logos and other content of the Service belong to us or the relevant rights holders. You may not copy, modify, distribute or use them for commercial purposes without our written permission.
10. Privacy
We take the protection of your personal information seriously. For how we collect, use, store and protect it, please see our Privacy Policy.
11. Limitation of Liability
- The Service is provided "as is". We will do our best to keep the Service stable, but we are not liable for interruptions, delays or failed transactions caused by system maintenance, network failures, third-party services (including card issuers, card networks and merchants) or force majeure, although we will do our best to help you reduce your losses.
- You bear any losses caused by your own actions, including disclosing your password, operating errors, providing false information or breaching this Agreement.
- To the extent permitted by law, our liability to you is limited to the direct losses you actually suffer as a result of the event, and will not exceed the amount of the transaction giving rise to the dispute.
12. Changes and Termination
- We may amend this Agreement from time to time and will notify you in the app by pop-up, announcement or similar means. If you do not agree with the changes, you should stop using the Service; continuing to use it means you accept the amended Agreement.
- You can apply to close your account at any time. Before doing so, please deal with your card balance, account balance and any pending transactions. When your account is closed, this Agreement ends, but records that the law requires us to keep will continue to be retained.
- If the Service is terminated because you breached this Agreement, we may still pursue your liability in accordance with the law.
13. Governing Law and Disputes
- The formation, performance and interpretation of this Agreement are governed by the laws of the Hong Kong Special Administrative Region.
- Any dispute arising from or relating to this Agreement shall first be resolved through friendly negotiation; if that fails, either party may bring a claim before a court of competent jurisdiction in the Hong Kong Special Administrative Region.
14. Miscellaneous
- We may send you notices by email to your registered address, through in-app announcements or similar means. A notice is deemed delivered once it has been sent.
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions remain in effect.
